Quick answer

Board resolution apostille: quick answer

Board resolution apostille is the stamp the Ministry of External Affairs (MEA) puts on your Indian board resolution so that it is accepted in Hague Convention countries. Before the MEA stage, commercial documents must be authenticated by a recognised Chamber of Commerce; the MEA then fixes the apostille for a government fee of ₹50 per document.

For the UAE, Qatar, Kuwait and other non-Hague countries the apostille is not accepted. There you need Board resolution attestation: Chamber of Commerce attestation, MEA attestation and then the embassy stamp.

INFINITYGRO handles Board resolution attestation in India for exporters, companies and individuals across India by courier. Send a WhatsApp photo of the board resolution and the destination country, and you get the route and a written quote before anything is sent.

Part 1 · Why you need it

Why a board resolution needs apostille or attestation

When an Indian company acts abroad, the foreign side wants to see that the board actually approved it: opening a subsidiary or branch, appointing a local director or authorised signatory, opening a bank account, signing a distribution agreement or bidding in a tender. The evidence is a certified true copy of the board resolution, signed by a director or the company secretary.

Company registrars, banks and tender authorities abroad accept that copy only after it is legalised: notarised and attested by a Chamber of Commerce, then apostilled by the MEA for Hague countries, or attested by the MEA and legalised by the embassy for the UAE, Qatar, Kuwait and other non-Hague countries.

Non-Hague countries

MEA rule for commercial documents: the MEA attests or apostilles commercial documents only after they are authenticated by a recognised Chamber of Commerce. We arrange that chamber stage in New Delhi, so the board resolution goes to the MEA in the correct form.
Part 3 · Documents

Documents required for Board resolution attestation

  • Certified true copy of the board resolution on company letterhead, signed by a director or the company secretary, with the company seal
  • Company incorporation certificate and director ID copies, if the foreign authority asks for them
  • Our authorisation letter format, signed on your letterhead
  • Copy of the signatory’s ID
  • Country of use and purpose, so we pick the right route
How to send: we do not offer pickup. Courier the original board resolution to our New Delhi office through a reputed, tracked courier, or drop it at the office; we courier it back once every stamp is done.

Part 5 · Before you send

Tips before sending your board resolution

  • Name the person being authorised exactly as in their passport, and state what they may sign.
  • Many foreign registrars want the resolution, the certificate of incorporation and the MOA/AOA together; plan them as one file.
  • If a POA is also needed, the board resolution authorising it should be legalised with it.

Part 7 · FAQs

FAQs: Board resolution apostille and attestation

How do I get a board resolution apostilled by the Ministry of External Affairs?

Send us the original board resolution. We arrange Chamber of Commerce attestation in New Delhi and then the MEA apostille, and the stamped document comes back by tracked courier.

What are the charges for Board resolution apostille?

The cost has three parts: the MEA’s ₹50 government fee per document, the Chamber of Commerce fee and our service charge. Courier both ways is separate. You get one written quote covering all of it.

Who should sign the board resolution copy?

A director or the company secretary signs the certified true copy on letterhead, usually with the company seal. That signature is what the notary and chamber verify.

What documents are required for Board resolution attestation?

The original board resolution, signed and stamped by the company or issuing authority, an authorisation letter on company letterhead (we send the format) and an ID copy of the signatory. Tell us the destination country, because the route depends on it.

What is the process for Board resolution attestation for the UAE, Qatar or Kuwait?

For these non-Hague countries the board resolution is attested by the Chamber of Commerce, then by the MEA, and finally legalised by the embassy of the destination country. For the UAE, the UAE Ministry of Foreign Affairs adds a final stamp inside the UAE.

Is a board resolution legalised for opening a company in the UAE?

Yes, UAE free zones and authorities generally ask for it. It needs Chamber of Commerce and MEA attestation, UAE embassy legalisation and then the UAE ministry stamp.

How long does Board resolution apostille take?

An apostille is quicker than embassy attestation because there is no embassy queue. The exact time depends on the chamber and MEA workload; your quote gives an expected date.

Apostille or attestation: which one does my board resolution need?

Look at the destination. A Hague Convention member (for example Saudi Arabia, Oman, Bahrain, Italy or Japan) accepts the apostille. The UAE, Qatar, Kuwait and China need attestation and the embassy stamp.

Can an LLP or partnership use the same process?

Yes. An LLP’s partners’ resolution or a partnership authority letter follows the same route.
