Agency Agreement Attestation for Egypt
Agency agreement attestation for Egypt, for Indian companies appointing an Egyptian commercial agent. Egypt’s commercial agencies law expects a contract with a foreign principal to be certified by a chamber of commerce and ratified by an Egyptian consulate. From India that means notary, Chamber of Commerce, MEA attestation and the Embassy of Egypt in New Delhi.

Agency agreement attestation for Egypt: quick answer
Agency agreement attestation for Egypt is the legalisation an Indian principal needs before an Egyptian agent can enter the agency in Egypt’s register of commercial agents. Under Article 4 of Law No. 120 of 1982 on commercial agencies, a contract with a foreign principal is certified by the relevant chamber of commerce and ratified by the competent Egyptian consulate. Egypt has not joined the Apostille Convention, so an apostille cannot replace that.
From India the steps are a notary, a Chamber of Commerce, MEA attestation and legalisation by the Embassy of Egypt in New Delhi. INFINITYGRO handles all four in Delhi. The total is quoted in writing after we see the contract; the embassy fee is extra and shown in that quote.
What Law No. 120 of 1982 means for your agreement
Egypt regulates commercial agency through Law No. 120 of 1982 and its executive regulations (Ministerial Decree 342 of 1982). The English text on the UN ESCWA Arab Legal Portal sets out these points.
| Register | Commercial agency may be practised only by a person recorded in the register of commercial agents (Article 2), kept by the General Organization for Export and Import Control under the executive regulations |
|---|---|
| Who can be the agent | An Egyptian national, or a company with its head office in Egypt and wholly Egyptian capital (Article 3) |
| Contract filed | The agency contract is submitted to the register (Article 4) |
| Foreign principal | The contract is certified by the concerned chamber of commerce and ratified by the competent Egyptian consulate (Article 4) |
Details the Egyptian register looks for in the contract
Article 4 also says the contract should set out the agent’s role, the responsibilities of each party, the commission and how it is paid, including the currency. A contract that leaves these to side letters may need to be re-signed, and a re-signed contract has to be attested again.
Write into the contract
- What the agent does: sales, promotion, after-sales or tenders
- Each party’s obligations
- Commission rate and when it is earned
- Payment method and currency
- Territory, products and term
Keep out of the contract
- Blank spaces to fill in later
- Handwritten changes after signing
- References to unsigned annexes
- Electronic signatures on a printed copy

Arabic for an Egyptian agency file
Arabic is the official language in Egypt, and the register works in Arabic. There are two ways to handle an English contract, and the choice belongs to your agent.
Bilingual contract
English and Arabic in parallel columns, signed together and attested once in India.
Translation in Egypt
The attested English contract is translated in Egypt by a translator the register accepts.
Translation from India
INFINITYGRO translates into Arabic, quoted by page, if your agent confirms that a translation from India will be accepted.
Company documents that often go with it
The register usually wants to know who the principal is. Agents commonly ask for company papers along with the contract, and they follow the same route to the Egyptian Embassy.

Egypt embassy attestation feesFAQs: Agency Agreement Attestation for Egypt
Does Egypt accept the MEA apostille?
No. Egypt is not a party to the Hague Apostille Convention. An agency contract for Egypt needs MEA attestation followed by legalisation at the Embassy of Egypt in New Delhi, which also matches the consular ratification Egypt’s commercial agencies law expects.
Can a foreign company be registered as a commercial agent in Egypt?
Law No. 120 of 1982 limits commercial agency to Egyptian nationals and to companies with a head office in Egypt and wholly Egyptian capital. Your agent therefore has to be Egyptian. Confirm the current position with an Egyptian lawyer, as INFINITYGRO does not advise on Egyptian law.
Why does the chamber stamp matter so much for Egypt?
Article 4 of the law says a contract with a foreign principal is certified by the concerned chamber of commerce and ratified by the Egyptian consulate. The Indian Chamber of Commerce stamp covers the first part; the Egyptian Embassy in New Delhi covers the second, after MEA attestation.
Our contract mentions commission but not the currency. Is that a problem?
It may be. The law expects the contract to state the commission and how it is paid, including the currency. Fixing it after attestation means signing and attesting again, so ask your agent or lawyer to review the draft before signing.
Do amendments need to go to the Egyptian Embassy too?
The law asks the foreign party to send later amendments to the Egyptian consulate as well. A signed amendment for use in Egypt follows the same route: notary, chamber, MEA and the Egyptian Embassy. We quote each amendment separately.
How long does Egyptian Embassy legalisation take?
It depends on the chamber, the MEA centre and the embassy’s working days, so we put the expected time in your written quote. Add courier time to and from Delhi. Let us know about any deadline in Egypt at the start.
Can you attest a distributorship agreement for Egypt?
Yes. We attest the agreement as signed; the Indian route is the same whatever its title. Whether the Egyptian register treats it as a commercial agency or a distribution arrangement depends on its terms and is for your Egyptian advisers to decide.
Do I have to come to Delhi?
No. Courier the signed original and the papers listed in your quote to our New Ashok Nagar office. Delhi clients can bring it in person. We return it by Blue Dart or another secure courier when the embassy stamp is done.
