Agency Agreement Attestation for Brazil

Agency agreement attestation for Brazil, for Indian companies appointing a Brazilian representative or distributor. Brazil has accepted apostilles since August 2016, so the agreement needs a notary, Chamber of Commerce attestation and the MEA apostille, with no Brazil Embassy stage. In Brazil it is then translated by a sworn translator and, where needed, registered.

Quick answer

Agency agreement attestation for Brazil: quick answer

Agency agreement attestation for Brazil is, in practice, an MEA apostille. Brazil joined the Hague Apostille Convention with effect from 14 August 2016 and India did not object, so an agency or distribution agreement signed in India is notarised, attested by a Chamber of Commerce and apostilled by the Ministry of External Affairs. The Brazil Embassy in New Delhi does not need to see it.

In Brazil, foreign documents are translated into Portuguese by a sworn translator and, to have legal effect there, registered at a Registro de Títulos e Documentos office. Those steps happen in Brazil through your partner. INFINITYGRO handles the Indian stages and quotes in writing after seeing the agreement.

Part 1 · The whole journey

Which steps happen in India and which in Brazil

An agency agreement for Brazil passes through two countries’ systems. Knowing the split up front stops anyone waiting for a stamp that the other side has to arrange.

In India (we handle)

  • Notary attests your signatory’s signature
  • Chamber of Commerce attests the agreement
  • MEA apostille, accepted throughout Brazil

In Brazil (your partner handles)

  • Sworn translation into Portuguese
  • Registration at a Registro de Títulos e Documentos office where legal effect is needed
  • Any filing with the body that asked for it

The rules for foreign documents published by Brazilian state courts, for example the extrajudicial code of the Santa Catarina Court of Justice, require foreign documents to be apostilled in the country of origin, translated by a sworn translator and registered with their translation under item 6 of Article 129 of Law 6.015 of 1973.

Part 2 · Portuguese

Sworn translation: why it is done in Brazil

A Brazilian sworn translator (tradutor juramentado) is registered with a Junta Comercial, the state commercial registry. A translation made in India, even a good one, is not a sworn translation in Brazil’s sense.

01

Apostille first

The sworn translator translates the whole document, including the notary, chamber and apostille stamps. So the apostille must be on before translation.

02

Working translation

INFINITYGRO can translate the draft into Portuguese for your own review before signing. It helps your team and your partner agree the terms; it does not replace the sworn translation.

03

Legible stamps

Ask for clear, unsmudged stamps and a clean original. Every word the translator cannot read slows the sworn translation.

Part 4 · Uses in Brazil

Why a Brazilian partner asks for the apostilled agreement

  • To register it at a Registro de Títulos e Documentos so that it has legal effect in Brazil
  • To show a Brazilian bank or buyer that they represent your company
  • For regulatory files where the importer must prove a link with the foreign manufacturer
  • As evidence if a dispute about the agency reaches a Brazilian court
Brazilian law on commercial representation and distribution is specialised. Ask a Brazilian lawyer to review the agreement before signing. INFINITYGRO handles the apostille only and does not advise on Brazilian law.
Part 5 · Supporting papers

Company papers often apostilled for Brazil at the same time

A Brazilian partner or registry may also want proof of your company and of the signatory’s authority. Sending these together means one courier and one sworn translation job in Brazil.

FAQs

FAQs: Agency Agreement Attestation for Brazil

Does the Brazil Embassy in New Delhi need to legalise the agreement?

No. Brazil has been a party to the Hague Apostille Convention since 14 August 2016, and India did not object. An MEA apostille is accepted throughout Brazil, so the embassy stage used before 2016 is no longer needed for an agency agreement.

Can INFINITYGRO do the sworn Portuguese translation?

No. A sworn translation for Brazil is made by a tradutor juramentado registered with a Brazilian Junta Comercial. We can provide a working Portuguese translation for your review before signing, but the sworn translation is ordered in Brazil after the apostille.

What is the Registro de Títulos e Documentos?

It is a Brazilian registry office for documents. Brazilian rules on foreign documents say that, to have legal effect in Brazil, an apostilled foreign document is registered there together with its sworn translation. Your Brazilian partner or lawyer arranges this.

Our Brazilian partner wants to sign in São Paulo. Does that change the route?

Our route covers the Indian signature. If your director signs in India and the partner signs in Brazil, apostille the Indian side here. If both sign in Brazil before a Brazilian notary, an Indian apostille may not be needed for the agreement itself; ask your Brazilian lawyer.

Should the agreement be bilingual?

It can be. A bilingual English and Portuguese agreement still goes through the same Indian stages. In Brazil, your partner or lawyer will tell you whether the Portuguese column is enough or whether a sworn translation of the whole document is still required.

Is a notary stamp alone enough for Brazil?

No. A notary stamp is only valid inside India. For Brazil, the agreement needs the Chamber of Commerce attestation and then the MEA apostille. The apostille is what Brazilian offices recognise, and the sworn translator in Brazil will translate it along with the notary and chamber stamps.

How long does the apostille take?

It depends on the chamber and the MEA centre, so we give the expected time in the written quote. There is no embassy stage. Plan extra time in Brazil for the sworn translation and any registry filing.

Can you apostille our certificate of incorporation as well?

Yes. Company documents such as the certificate of incorporation or a board resolution can be apostilled in the same batch, following the notary or issuing-authority and MEA route that suits each document. We list each one separately in the quote.
