Board resolution for Oman in short

Board resolution attestation from Oman Embassy is the legalisation of a resolution passed by your company’s board, so that people in Oman can rely on it. Omani offices use it to check that the director or manager acting there has the board’s authority: to open a branch, sign a contract, open a bank account or give a power of attorney.

A board resolution is a commercial paper, and Oman does not apply the Apostille Convention to commercial papers. So a certified extract of the resolution is attested by a recognised Chamber of Commerce, then by the Ministry of External Affairs (MEA), and then legalised by the Embassy of Oman in New Delhi. INFINITYGRO checks the extract, handles each step and quotes in writing. The embassy fee is extra and shown in the quote.

Part 1 · When it is needed

Decisions in Oman that need a board resolution

Omani counterparts want to see that the company, not just one person, has agreed to the step. Typical resolutions we see for Oman cover:

01

Setting up in Oman

Approval to open a branch, form a subsidiary or invest in an Omani company, naming who will sign the papers.

02

Appointing a representative

Authority for a manager, agent or lawyer in Oman, usually alongside a power of attorney.

03

Banking and contracts

Approval to open or operate a bank account, sign a major contract or submit a tender in Oman.

Part 2 · The extract

What a usable board resolution extract looks like

You do not send minute books. You send an extract of the resolution, certified as a true copy, on company letterhead. The chamber and the Oman Embassy read it closely, so get it right before signing.

The extract should state

  • Company name, registered office and CIN
  • Date and place of the board meeting
  • The exact wording of the resolution
  • Name and passport number of the person authorised
  • Certification as a true copy, signed with name and designation

Frequent problems

  • General wording that never says what the authority is for
  • The authorised person’s name spelt differently from the passport
  • Signed by the same person it authorises, with no second signatory
  • No company seal on the certification
  • A resolution date after the POA it supports
INFINITYGRO does not draft resolutions or advise on company law. Your company secretary or lawyer prepares the extract; we handle the attestation.

Part 4 · Send together

Pair the resolution with the papers it supports

A resolution rarely travels alone. If it authorises a power of attorney, the Omani office will compare the two, so legalise them in the same batch and check that names, dates and powers agree.

For other company papers that Omani registration offices commonly ask for, see our Oman commercial documents guide.

Part 5 · In Oman

Translation and use after the embassy stamp

Omani offices work in Arabic. A short resolution is quick to translate into Arabic; ask the receiving office whether the translation must carry the same stamps.

Some offices also want Oman’s Ministry of Foreign Affairs to attest the paper in Oman. The ministry now handles attestation through Oman Post, and company representatives submit there. That step is arranged in Oman, not by us.

FAQs

FAQs: Board Resolution Attestation from Oman Embassy in India

Can a board resolution for Oman be apostilled?

No. Oman declared in 2021 that it does not apply the Apostille Convention to commercial documents, and a board resolution is a commercial paper. It needs Chamber of Commerce attestation, MEA attestation and legalisation by the Embassy of Oman in New Delhi.

Who should sign the board resolution extract?

Usually a director or the company secretary certifies the extract as a true copy, with name, designation and company seal. It is safer if the person certifying is not the same person the resolution authorises. Your company secretary can confirm what suits your company.

Can you draft the resolution for us?

No. INFINITYGRO does not draft board resolutions or give legal advice. Your company secretary or lawyer prepares it, ideally using the wording the Omani office has asked for. We start once the extract is signed and sealed.

Does the resolution need to be notarised first?

Some chambers attest a company-certified extract directly, while others prefer it notarised first. We check what applies to your extract before you courier it, so it does not come back to you for a missing step and lose a week.

Can one resolution cover several purposes in Oman?

It can, if the wording clearly lists each purpose and names the authorised person. A single clear resolution often saves legalising two. Check with the Omani office that one document is acceptable before you sign it.

How long does board resolution attestation for Oman take?

It depends on the chamber, the MEA and the Oman Embassy queue, so we do not publish a fixed figure. We give an estimate with your written quote. Add courier time to Delhi and back.

Should the POA and the resolution be legalised together?

Yes, where possible. Omani offices often check that the resolution authorises the person who signed the POA. Sending both in one batch keeps the dates and names consistent, and it saves a second round at the chamber, the MEA and the embassy.

Is a board resolution from an LLP or partnership firm accepted?

An LLP or partnership firm would normally use a resolution of its partners or designated partners rather than a board. Send us a scan and the Omani checklist, and we confirm whether the chamber and embassy will process it.
